3. Payment and Fees

General Payment Terms

By purchasing services from us, you agree to pay all applicable fees as set forth at the time of purchase when they become due. You are responsible for all related taxes and will reimburse us for collection costs and interest for any overdue amounts.

Subscription Payments

By purchasing a subscription, you expressly agree that:

  • We or our payment agents are authorized to charge you a recurring subscription fee monthly
  • We may charge you for additional fees incurred in connection with your use of the Services
  • Subscription fees are billed at the beginning of your subscription and each month thereafter
  • If you do not cancel, you authorize us to continue billing you

Late Payments and Service Termination

  • Failure to pay in a timely manner may result in termination of your subscription and/or late payment fees
  • Late payment fees of up to £50 may be applied on invoices 30 days past due
  • We reserve the right to restrict, suspend, or terminate your access to the Services for breach of Terms or failure to pay applicable fees

4. User Restrictions and Responsibilities

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Services
  • Modify, translate, or create derivative works based on the Services
  • Use the Services for timesharing or service bureau purposes
  • Remove any proprietary notices or labels
  • Use the Services in violation of applicable laws and regulations

You are solely responsible for the procurement, configuration, operation, performance, and security of any hardware or software you use in connection with our service.

Stackboard API may use your company name and logo to identify you as a customer on the Site, on publicly available customer lists, and in media releases during the term of the Agreement.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Warranty and Disclaimer

We will use reasonable efforts consistent with prevailing industry standards to maintain the Services and minimize errors and interruptions.

However, we do not warrant that the Services will be uninterrupted or error-free. Except as expressly set forth in this section, the Services are provided "as is" and we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

Except for bodily injury, we and our officers, affiliates, representatives, contractors, and employees will not be responsible or liable under any contract, negligence, strict liability, or other theory for:

  • Error or interruption of use, loss or corruption of data, or cost of procurement of substitute services

Addendum: Deposit and Spending System

Payment Security Notice

We do not store any payment card details or sensitive financial information. All payment transactions are securely processed through our trusted third-party payment processor, Stripe. Your payment information is transmitted directly to Stripe using industry-standard encryption protocols, ensuring the highest level of security for your financial data.

1. System Purpose

The deposit and spending system allows you to deposit funds into your account for the sole purpose of making purchases on our Site. Deposits are not intended for long-term storage of funds.

2. Deposits and Processing

  • All payment transactions are processed through Stripe
  • We do not handle or store your payment information directly
  • We reserve the right to set minimum and maximum limits on deposits and account balances

3. Use of Funds

  • Deposited funds may only be used for purchases on our Site
  • Withdrawals of unused funds may be restricted or prohibited, except where required by law
  • Refunds for purchases will be credited back to your account balance
  • Upon account closure, remaining balances will be refunded in accordance with our refund policy and applicable laws

4. Account Security and Monitoring

  • We reserve the right to monitor accounts for unusual or suspicious activity
